1. General

1.1. These General Terms and Conditions ("T&Cs" or the "Terms and Conditions") apply to all orders placed with Myteriors Sàrl-S ("Myteriors" or the "Company"), having its registered office at 6, Am Daerchen, L-5336 Moutfort, Luxembourg, and registered with the Registre de Commerce et des Sociétés (RCS) under number B288709, via the website www.formedfurnished.com (the "Website").

These T&Cs constitute the contract between Myteriors and the customer. The Company and the customer are hereinafter jointly referred to as the "Parties."

The "Customer" means any legal or natural person who places an order with the Company, either for themselves or on behalf of another party.

The "Consumer" refers to any natural person who is acting for purposes which do not fall within the scope of their commercial, industrial, craft or professional activity.

In the context of these Terms and Conditions, a "Third Party" refers to any external entity other than the Customer and Myteriors, including suppliers, service providers, or platforms recommended for purchasing decorative items, as well as any other party whose products, services, or actions may affect the Customer's experience or obligations under these T&Cs.

Additionally, any delay in providing necessary information by the Customer will result in an extension of the processing time.

12.4. Isometric renderings and layouts included in our Digital Furniture Design Packages are design references based on standardised room dimensions (8, 10, 12, 16, 20, and 24 sqm). They are not bespoke solutions tailored to the Customer’s specific space. While we strive for accuracy, layouts may not perfectly fit the unique dimensions of every space. Variations in display settings and materials may cause colour discrepancies. Customers are responsible for verifying measurements and dimensions, and for addressing any delivery or installation challenges.

12.9. Regarding Website use, Myteriors does not guarantee uninterrupted or error-free operation. The Website may experience temporary interruptions due to maintenance or technical improvements. Given internet constraints, we cannot guarantee the security, availability, or integrity of online data transmissions, nor the absence of bugs or harmful elements. Myteriors declines responsibility for misuse of devices or incidents related to Website use. We are not liable for any damage to users’ hardware, terminals, or data, nor for any resulting personal, professional, or commercial consequences. The Customer acknowledges responsibility for ensuring the security and proper configuration of their device.

Myteriors endeavours to secure its Website but cannot be held liable if undesirable data is imported without its knowledge. The Customer acknowledges that Website functionality depends on mobile and internet networks. Myteriors disclaims responsibility for network unavailability. Any associated fees for internet access remain the Customer’s responsibility.

12.10. If Myteriors liability is established, compensation to the Customer shall not exceed the amount covered by Myteriors professional liability insurance. If the claimed loss is not covered by insurance, Myteriors liability except in cases of intentional fault shall be limited to the fees received for the service in question.

The information, plans and documents must comply with technical specifications communicated by Myteriors and must not be harmful. Any technical costs incurred due to non-compliant information, plans and documents will be charged to the Customer. The Customer guarantees the accuracy and legality of the provided information, plans and documents and remains solely responsible for it, ensuring compliance with intellectual property laws. The Customer agrees to indemnify Myteriors against any third-party claims related to the information, plans and documents.

13.3. The Customer’s choices and provided information determine the services related to the ordered Service and are binding.

13.4. The Customer warrants that all information provided is accurate and not misleading, and that they have the legal capacity to contract with Myteriors or are validly represented where applicable.

14. Legal and Commercial Warranties

14.1. Legal Conformity Guarantee: If applicable and in accordance with the Consumer Code, Myteriors provides the consumer with a statutory conformity guarantee for a period of two years from the delivery of the digital services. This guarantee covers the correction or replacement of services that are found to be non-conforming to the contract, provided the issue is not caused by the Consumer. 15. Dispute Resolution

In the event of a dispute between the parties regarding the validity, interpretation, or execution of these T&Cs, they shall first seek an amicable resolution. If no agreement can be reached for any reason, the dispute may then be submitted to the competent courts and tribunals in accordance with article 16. In accordance with Luxembourg consumer law, the Consumer also has the right to refer the dispute to the Médiateur de la consommation (National Consumer Ombudsman Service), accessible at https://www.mediateurconsommation.lu, or to the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Governing Law and Jurisdiction

16.1. These Terms and Conditions and the contractual relationship between the Customer and Myteriors are governed by Luxembourg law.

16.2. Any dispute between the Customer and Myteriors is subject to the exclusive jurisdiction of the courts of the city of Luxembourg, unless mandatory legal provisions grant the Customer the jurisdiction of other courts.

17. Amendments to the Terms and Conditions

17.1. The Company reserves the right to modify these Terms and Conditions at any time. Any changes will be published on the Company’s Website www.formedfurnished.com and may also be communicated via email or platform notifications.

17.2. For contracts involving successive performance, Customers have a period of 15 days from the publication of the updated Terms and Conditions to terminate their contractual relationship if they do not agree with the modifications. If no action is taken within this period, the modifications will take effect the day after the 15-day period expires and will become fully enforceable against the Customers.

Continued use of the services after the modifications take effect constitutes acceptance of the updated Terms and Conditions. If a Customer does not agree with the changes, they must cease using the platform and may contact the Company to discuss their concerns.

18. Severability Clause

If one provision of these T&Cs is declared null and void or unenforceable under applicable law or regulation, this shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. In such a case, the parties shall negotiate in good faith to draft a new clause replacing the invalid or unenforceable one, ensuring it aligns as closely as possible with the original intent.
